Service Features: Providing users with English conversation practice.

By downloading this application and using its content and services, the user signifies acceptance of these Terms and Conditions. They shall be effective from the moment of acceptance and, if modified, shall apply from the effective date of the modified conditions.The Company may modify these Terms and Conditions when deemed necessary. The Company will announce the content and effective date of the modified terms and conditions within the application at least 7 days in advance. However, if the modified terms and conditions are detrimental to the user, a notice will be provided 30 days prior to the effective date. The modified terms and conditions shall take effect from the date of announcement or notification.

• 01. The Service is generally available 24 hours a day, except for special business or technical issues. However, due to operational requirements such as regular system checks, server expansion or replacement, addition of content, error correction, etc., the Service may be temporarily suspended. In legal or operational circumstances, the Service may only be provided for a certain period of time.

• 02. Within the permissible scope of relevant laws, the Company reserves the right to modify or discontinue (temporarily or permanently) the functionality and features of the VoiceTube service, with or without notice. The Company shall not be liable to the User for any interruption, modification, or discontinuation of the VoiceTube service or any of its features (except where prohibited by law).

• 03. The Service integrates OpenAI or other third-party technologies as auxiliary language learning tools. The Service endeavors to provide accurate and useful answers, but cannot guarantee that all content is absolutely correct. We make no express or implied warranties regarding the accuracy, completeness, or legality of the generated content. You understand and agree that the use of the generated content from this App is entirely voluntary and at your own risk, and you assume any risks and liabilities that may arise from such use. When using this App, you shall comply with applicable laws and regulations and abide by the App's terms of use and any other relevant provisions.

• 04. The purpose of this App is to provide simulated conversations to facilitate language learning. The generated images, conversation content, and voices are automatically generated by an artificial intelligence (AI) system. Please note that the generated images, conversation content, and voices are for educational and entertainment purposes only. They do not represent the views, opinions, or positions of our company, any real existing individuals, organizations, or entities. The generated content is unrelated to any real-world individuals or entities.

• 01. The Company complies with applicable laws, exercises rights in good faith, and fulfills the obligations stipulated in these Terms and Conditions.

• 02. The Company has established a system to protect member privacy and ensure the secure use of the Service, and complies with the published privacy policy.

• 03. In the event of equipment failures or data loss during the ongoing improvement process of providing a stable service, the Company will make every effort to promptly repair or restore the service, unless there are unavoidable reasons such as natural disasters, emergencies, defects and failures that cannot be resolved by current technology.

• 01. Membership Registration Responsibility: This Service is exclusively available to VoiceTube members. Before using the Service, the User must register as a member according to the application procedure and can only be used by the applicant themselves.

• 02. Responsibility for Providing Authentic Information: The registered member must ensure that their membership account and password are applied in their true identity, and the information provided or filled in is true, accurate, and up-to-date. If any loss occurs due to false information leading to the inability to notify, or if it causes infringement of others' rights or violates laws by impersonating someone else, the Company has the right to terminate your membership and the right to use the various services at any time. The registrant shall bear the relevant legal responsibilities.

• 03. Responsibility for Data Management: User must properly safeguard their personal information, payment information, relevant accounts, and passwords. Any use of the Service by logging in with the account and password of the User is considered the User's own action.

• 04. Responsibility for Active Notification: If there are any errors or changes in the personal information registered by User, except for the email account, User should notify the Company promptly to request corrections. If User fails to notify and suffers damage to their rights, User shall be responsible for it. If User discovers that their account and password have been unlawfully used or suspected of being stolen, please immediately report it to VoiceTube's customer service. The Company will cooperate by temporarily suspending the services for that account. If you have already reported it to the police, the Company will also cooperate with the investigation by law enforcement agencies or prosecutors.

• 05. This Service is personalized, including the user's personal recording files, recorded vocabulary, which are part of User's learning records. To protect personal information, the account for this Service must not be shared with others or transferred for use. The Company shall not be held responsible for any legal issues related to User's unauthorized sharing or transfer of the account.

The Service is provided solely for the use of the User within the Service. User shall not sell or provide the Service to others in any way or use it for commercial purposes. In the event of a violation of the aforementioned provision, the Company shall have the right to terminate your use of the Service. The Company shall not be held responsible for any disputes with third parties arising from your violation of the aforementioned provision.VoiceTube reserves the right to terminate or modify User's member account and the right to use the various services if any of the following situations occur while using the Service:

• 01. Intentionally disrupting the normal operation of the Service's network system.

• 02. Distributing on the Service's website threatening, defamatory, privacy-infringing, pornographic, or other content that violates public order and morals.

• 03. Unauthorized reproduction or public transmission of course materials or content, or unauthorized cracking, destruction, or circumvention of technological protection measures.

• 04. Providing one's own or another member's account and password to third parties, or selling, sharing, or co-using member accounts.

• 05. Intentionally invading or damaging the online course system.

• 06. Engaging in illegal activities through the Service.

VoiceTube shall not be held responsible for any inconvenience, inconvenience, or damage caused by the termination or modification of the member's use of the Service due to the above reasons.If User violates any provision of the preceding paragraph, this Agreement, or in any other way causes damage to the Service's servers or affects the rights of other members, VoiceTube shall have the right to claim from User all damages, expenses, or costs incurred by the Company as a result (including, but not limited to, attorney's fees and litigation costs). User may also bear other legal liabilities or have other civil and criminal responsibilities towards third parties.

• 01. The copyrights and other intellectual property rights of the content created by the Company within the Service are owned by the Company.

• 02. The copyrights of member-generated content published within the Service belong to the respective authors of the content.

• 03. Members shall not use the information obtained from the Service, which falls under the intellectual property rights of the Company or service providers, for commercial purposes or allow third parties to use it without prior consent from the Company or service providers.

You expressly understand and agree that VoiceTube does not provide any express or implied warranties for the Service and the App, including but not limited to the completeness of rights, merchantability, fitness for a particular purpose, and non-infringement of others' rights. The Service and the App are provided on an "as-is" and "as-available" basis, and you use the Service and the software at your own risk. VoiceTube does not guarantee the following:

• 01. The Service and the App will meet your requirements.

• 02. The Service and the App will be uninterrupted, timely, secure, or error-free.

• 03. The results obtained from the use of the Service and the App will be accurate or reliable.

• 04. Any products, services, information, or other materials purchased or obtained through the Service will meet your expectations.

• 05. Any errors in any websites, features, or the App will be corrected.

You should exercise your own discretion and assume all risks associated with downloading or obtaining any data through the use of the Service and the App, and you waive any claims against VoiceTube for any damage to your computer system, network access, downloading or playback devices, or any loss of data resulting from the download of such data. You are fully responsible for any claims or legal actions arising from such data downloads. Any advice or information obtained from VoiceTube, whether oral or written, does not constitute a warranty for the Service or the App. You expressly understand and agree that VoiceTube, its subsidiaries, affiliates, managers, employees, agents, partners, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, reputation, use, data, or other intangible losses (even if VoiceTube has been advised of the possibility of such damages), arising from:

• 01. The use or inability to use the Service.

• 02. The cost of substitute goods and services.

• 03. Unauthorized access or alteration of your transmissions or data by others.

• 04. Any statements or conduct of any third party related to the Service.

• 05. Any other matter related to the Service.Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you.

Information, data, text, software, music, audio, photos, graphics, videos, messages, or other materials ("Member Content") publicly posted or privately transmitted by members are the sole responsibility of the respective providers of such Member Content. VoiceTube has no control over the Member Content posted through the Service and therefore does not guarantee its accuracy, completeness, or quality. You understand that when using the Service, you may be exposed to Member Content that is offensive, inappropriate, or objectionable. In no event shall VoiceTube be liable for any Member Content, including but not limited to any errors or omissions, or any loss or damage incurred as a result of posting, sending, or transmitting such Member Content through the Service. If you do not have the legal right to authorize others to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, or publicly display your Member Content, please do not upload, transmit, input, or provide such data to VoiceTube. Any data you upload, transmit, input, or provide to VoiceTube will still be owned by you or your licensors. However, by uploading, transmitting, inputting, or providing any data to VoiceTube, you agree that:

• 01. VoiceTube and its affiliated companies may store or manage such data and index and crawl such data using VoiceTube's and its affiliated companies' search tools, and publish and use such data on the relevant systems and networks of VoiceTube and its affiliated companies, including but not limited to third-party websites affiliated or cooperating with VoiceTube.

• 02. You grant VoiceTube and its affiliated companies the right to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, publicly display, publicly transmit, publicly perform, translate, and sublicense such data for public interest, promotional, advertising, or operational purposes of VoiceTube and the Service. You also warrant that the use, modification, reproduction, public broadcasting, adaptation, distribution, publication, public display, public transmission, public performance, translation, and sublicensing of such data by VoiceTube and its affiliated companies will not infringe upon any third-party intellectual property rights. Otherwise, you shall be liable for any damages incurred by VoiceTube and its affiliated companies.

• 03. You understand that VoiceTube does not pre-screen Member Content, but VoiceTube has the right (but not the obligation) at its sole discretion to refuse or remove any Member Content provided through the Service. Without limiting the foregoing, VoiceTube and its designated individuals have the right to remove any Member Content that violates these Terms of Service or any applicable laws or is objectionable. When using any Member Content, you agree to evaluate and assume all risks regarding the accuracy, completeness, or usefulness of such Member Content.

You agree not to reproduce, copy, sell, trade, resell, or use any part of this Service or the Service itself (including: Service content, Member Content, advertisements, the App, and VoiceTube accounts) for any commercial purposes.

VoiceTube reserves the right, at any time and without notice, to modify or permanently or temporarily discontinue the provision of this Service (or any part thereof). You agree that VoiceTube shall not be liable to you or any third party for any modifications, suspensions, or discontinuance of the Service.

These Terms of Service, together with any specific terms applicable to particular services provided by VoiceTube, constitute the entire agreement between you and VoiceTube regarding your use of the Service, superseding any prior agreements between you and VoiceTube. The interpretation and application of these Terms of Service and any disputes relating to these Terms of Service shall be governed by the laws of the Republic of China (Taiwan) without regard to its conflict of law provisions, and the Taipei District Court shall have exclusive jurisdiction as the court of first instance. The failure of VoiceTube to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is held invalid by a court of competent jurisdiction, the parties agree that the court shall endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Service shall remain in full force and effect. You agree that your VoiceTube account is non-transferable, and all rights to your VoiceTube account or the contents therein terminate immediately upon your death. Upon receipt of proof of your death, VoiceTube will terminate your account. The headings in these Terms of Service are for convenience only and have no legal or contractual effect. If there is any violation of these Terms of Service, please contact VoiceTube customer service immediately.

We will collect, process, and use the personal data you provide or that is automatically recorded by the system during your registration and use of this Service in accordance with the Personal Data Protection Act and VoiceTube's "Privacy Policy." For the rights related to personal data, please refer to VoiceTube's "Privacy Policy." In addition to what is stipulated in the privacy policy, you agree that VoiceTube may collect, organize, and use the personal data you register or store for the purposes of business processing, service provision, teaching and research, data analysis, and business promotion within the scope necessary for providing and promoting the Service. You also agree that, if necessary for providing the Service or promoting the Service, VoiceTube has the right to provide such data to affiliated companies or business partners.

The Site and, with the exception of material posted by registered users and third party content, all material published on the Site, including, but not limited to text, photographs, video, text, graphics, music, audio, sounds, messages, comments, ratings, and other materials is owned by VoiceTube or its licensors and is protected by copyright, patents, trademarks, trade secrets and/or other proprietary rights, including under the United States copyright laws. VoiceTube owns a copyright in the selection, coordination, arrangement and enhancement of such content and a copyright in the Site. All trademarks appearing on this Site ("Marks") are trademarks of their respective owners, including VoiceTube and its partners. Users are prohibited from using any Marks without the written permission of VoiceTube or such third party that may own the Marks.All content on the Site is provided AS IS for your information and personal use only. You may not copy, publish, transmit, distribute, perform, sell, create derivative works of, or in any way exploit, any of the content, in whole or in part, without VoiceTube's prior written consent. You may download content for your personal, non-commercial use only as provided in these Terms, provided that you keep intact all copyright and other proprietary notices. Copying or storing of content for other than personal use is expressly prohibited without prior permission from us or the copyright holder identified in the copyright notice contained in the content.

The interpretation or application of this Agreement shall be governed by the laws of the Republic of China (Taiwan). Any disputes between the users of this Service and the company arising from the use of this Service shall be resolved in good faith. In the event of a necessary lawsuit, the Taipei District Court shall have jurisdiction as the court of first instance, without excluding the application of Article 47 of the Consumer Protection Act or Article 436-9 of the Code of Civil Procedure regarding the jurisdiction of small claims courts.
